Should I Incorporate?

Deciding whether you should officially incorporate your freelance business is a complex decision. The legal entity you choose for your business impacts your finances, taxes, bookkeeping requirements, and personal liability, and everyone’s needs are different.

Join Freelancers U for a two-part seminar on the ins and outs of incorporating from both the taxation and legal perspectives. Howard Samuels, CPA MST, and Stephen T. Furnari, Esq. will discuss:

• Structural differences between S-Corps, C-Corps, LLCs, and Sole Proprietorships
• How business entities differ for tax purposes
• How business entities are taxed on a state/city level
• How business entities differ from a legal and personal liability standpoint
• How to ensure that a creditor will not “pierce” the corporation or LLC to hold you personally liable
• Accounting/bookkeeping requirements for entities
• How to hire an accountant for your business
• What to ask when retaining a lawyer for your business

Howard Samuels, CPA MST, is a partner in S&C LLP, a New York City--based certified public accounting firm providing accounting, bookkeeping, and tax services for individuals and small- to medium-sized businesses. Howard has a Masters Degree in Taxation from Pace University and holds his undergraduate degree in accounting from Syracuse University. Howard has been practicing accounting and tax for 18 years.

Stephen T. Furnari, Esq. is the Managing Partner of the Corporate & Securities Services Group at the New York firm Furnari Scher, LLP. In his corporate law practice, Stephen helps entrepreneurs and growing companies achieve their professional and financial goals without getting mired down in lawsuits and government investigations. He is also the founder and President of Law Firm Incubator Suites, New York City’s leading provider of professional office space for solo attorneys and small law firms. .
